01 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and MXE Retail Tech Ltd. ("Company", "we", "us", or "our"), a corporation incorporated under the Business Corporations Act (Ontario).

By accessing or using our website, browsing our online storefronts, or purchasing any product or service from us, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

02 Company Information

MXE Retail Tech Ltd. is a private corporation that develops and operates direct-to-consumer e-commerce brands, selling consumer products through its digital storefronts. The company manages product sourcing, digital marketing, and fulfillment through international suppliers and logistics partners.

03 Use of Website

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You must not:

• Use the website in any way that violates applicable Canadian federal or provincial laws or regulations
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to any part of our website, systems, or servers
• Engage in any conduct that restricts or inhibits any other person's use or enjoyment of the website
• Use automated tools, bots, or scrapers to extract data from our website without written consent
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate your access to our website at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

04 Products & Orders

All products offered through our storefronts are subject to availability. We make reasonable efforts to display accurate product descriptions, images, and specifications, however we do not warrant that product descriptions or other content is complete, accurate, reliable, or error-free.

• Product listings, pricing, and availability are subject to change at any time without prior notice
• Placing an order constitutes an offer to purchase; acceptance occurs upon our order confirmation email
• We reserve the right to refuse, cancel, or limit any order at our sole discretion, including orders that appear fraudulent or placed in bad faith
• In the event an item is listed at an incorrect price due to a typographical or system error, we reserve the right to cancel the order and issue a full refund
• Bulk or resale orders may require prior written authorization from MXE Retail Tech Ltd.

05 Pricing & Payment

All prices displayed on our storefronts are in Canadian Dollars (CAD) unless otherwise indicated at checkout. Applicable taxes will be calculated and displayed at the time of purchase in accordance with Ontario and federal Canadian tax regulations.

• Full payment is required at the time of order placement
• We accept payment through secure, PCI DSS-compliant payment processors
• By submitting payment, you represent that you are authorized to use the payment method provided
• We reserve the right to verify payment information and may delay fulfillment pending verification
• In cases of payment failure or chargeback fraud, we reserve the right to suspend account access and pursue recovery of amounts owed

06 Shipping & Fulfillment

We fulfill orders through international third-party logistics (3PL) partners and courier services. Estimated delivery windows are provided at checkout and are for reference only — they are not guaranteed delivery dates.

• Risk of loss and title for products pass to you upon delivery to the carrier
• We are not responsible for delays, losses, or damages caused by carriers, customs authorities, or force majeure events
• International orders may be subject to customs duties, import taxes, or brokerage fees, which are the sole responsibility of the customer
• Delivery addresses are the customer's responsibility; we are not liable for failed deliveries due to incorrect address information
• If a shipment is returned to us due to an undeliverable address, re-shipment fees may apply

07 Returns & Refunds

We want you to be satisfied with your purchase. Our return and refund policy is as follows:

• Returns are accepted within 30 days of the confirmed delivery date
• Items must be unused, in their original condition, and in original packaging
• Proof of purchase (order number or confirmation email) is required for all returns
• Certain products — including consumables, customized items, and items marked as final sale — are not eligible for return
• Approved refunds are issued to the original payment method within 5–10 business days of return receipt and inspection
• Original shipping charges are non-refundable unless the return is due to our error or a defective product
• Return shipping costs are the responsibility of the customer unless otherwise stated

To initiate a return, contact us at info@mxeretail.com with your order number and reason. We will issue a Return Merchandise Authorization (RMA) with instructions.

08 Intellectual Property

All content on our websites and digital storefronts — including but not limited to text, graphics, logos, brand marks, product images, interface design, and software — is the exclusive property of MXE Retail Tech Ltd. or its licensors and is protected under applicable Canadian intellectual property law, including the Copyright Act (Canada) and the Trademarks Act (Canada).

• You may not reproduce, distribute, modify, or create derivative works of our content without prior written authorization
• Unauthorized use of our brand, trademarks, or proprietary materials is strictly prohibited
• Nothing in these Terms grants you any license or right to use our intellectual property except as expressly permitted

09 Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, to the fullest extent permissible under applicable law.

• We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components
• We do not warrant the accuracy, completeness, or reliability of any content on the website
• Product descriptions and images are provided for informational purposes and minor variations may exist between product listings and delivered items

10 Limitation of Liability

To the maximum extent permitted by applicable law, MXE Retail Tech Ltd., its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our products, website, or services — including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill.

In no event shall our total aggregate liability to you for any claims arising out of or related to a specific order exceed the total amount paid by you for that order.

You agree to defend, indemnify, and hold harmless MXE Retail Tech Ltd. and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your violation of these Terms
• Your violation of any applicable law or the rights of a third party
• Any content you submit or transmit through our platforms

12 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or in connection with these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You irrevocably consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of not less than 30 days following written notice of the dispute.

13 Modifications to Terms

MXE Retail Tech Ltd. reserves the right to modify these Terms at any time at its sole discretion. When changes are made, the updated Terms will be posted on this page with a revised effective date. It is your responsibility to review these Terms periodically.

Your continued use of our website or services after any modification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease using our services.
